These Terms and Conditions (“Agreement”) set forth the general terms and conditions of your use of the Platus.com website (“Website” or “Service”) and any of its related products and services (collectively, “Services”). This Agreement is legally binding between you (“User”, “you” or “your”) and Openlaw Technologies Inc. (doing business as “Platus”, “we”, “us” or “our”).

By accessing and using the Website and Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree with these terms, you must discontinue use of the Website and Services immediately.

1. No Legal Advice – No Attorney-Client Relationship

Platus.com provides AI-powered tools to assist users in generating, analyzing, and managing legal documents. However, these services do not constitute legal advice under:

  • § 3 of the German Legal Services Act (Rechtsdienstleistungsgesetz – RDG)
  • § 2, 3, and 7 of the Federal Lawyers’ Act (Bundesrechtsanwaltsordnung – BRAO)
  • U.S. state laws regarding the unauthorized practice of law (UPL), including ABA Model Rule 5.5

Platus.com is not a law firm and does not provide legal representation. The AI-generated content is for informational purposes only and must be reviewed by a licensed attorney or notary before use.

2. Compliance with Unauthorized Practice of Law (UPL) Regulations

In compliance with U.S. federal and state laws, Platus.com does not engage in any practice that could constitute the unauthorized practice of law. The platform does not:

  • Provide legal representation or act as an attorney
  • Offer personalized legal advice
  • Guarantee the legality or enforceability of AI-generated documents

Users acknowledge that laws governing legal services vary by jurisdiction, and it is their responsibility to consult a licensed attorney before relying on AI-generated content.

3. Limitation of Liability for AI-Generated Content

Platus.com shall not be liable for:

  • Misinterpretations of statutory law, case law, or regulations
  • Errors, omissions, or defects in AI-generated content
  • Legal, financial, or business consequences arising from reliance on AI-powered outputs

Users bear full responsibility for verifying AI-generated content with a licensed attorney before use.

4. Compliance with U.S. AI Regulations & FTC Guidelines

Platus.com complies with U.S. Federal Trade Commission (FTC) guidelines on AI transparency. AI-generated content is explicitly labeled as "automated templates" and must not be interpreted as official legal opinions.

5. Referral to Legal Professionals

Platus.com may provide users with options to connect with licensed attorneys or notaries for legal review. However, any engagement with such professionals is independent of Platus.com, and Platus.com assumes no liability for the quality of external legal services.

6. Governing Law & Dispute Resolution

(1) If the User is located in the United States, this Agreement shall be governed by and construed under the laws of the State of Delaware, without regard to conflict-of-law principles.

(2) If the User is located in Germany or the European Union, this Agreement shall be governed by the laws of the Federal Republic of Germany.

(3) Any disputes arising under this Agreement shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), unless mandatory statutory provisions require litigation.

7. Updates & Amendments

We reserve the right to modify this Agreement at any time. Updates will be communicated via the Website. Continued use of the Services constitutes acceptance of the revised Terms.
